1. Acceptance of Terms

Welcome to Opsle (“we,” “us,” or “our”). By accessing or using www.opsle.com (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (the “User” or “you”) and Opsle. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Opsle is a cloud-based checklist management platform that enables businesses to:

• Create and manage checklists and templates
• Assign tasks to team members across multiple locations
• Track completion status and performance metrics
• Collaborate on operational processes
• Generate reports and analytics

The Service is provided on a subscription basis with different pricing tiers (see Section 6).

3. Eligibility

3.1 Age Requirement

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement.

3.2 Business Use

The Service is intended for business and organizational use. If you are registering on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3.3 Prohibited Users

You may not use the Service if:

• You have been previously banned or suspended
• You are located in a country embargoed by the United States
• You are prohibited by law from accessing the Service

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account by providing:

• Valid email address
• Secure password (minimum 8 characters)
• Company name and contact information

You may also register using OAuth providers (Google, Microsoft).

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of unauthorized access

We recommend enabling multi-factor authentication (MFA) for added security.

4.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update it as necessary. Providing false information may result in account termination.

4.4 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account remains inactive for 12+ months (free plans)
• Payment for paid plans is not received

5. User Conduct and Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or malware
• Attempt to gain unauthorized access to systems
• Reverse engineer or decompile the Service
• Use automated tools (bots, scrapers) without permission
• Interfere with or disrupt the Service
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect personal information of other users
• Use the Service for spam or unsolicited marketing

5.2 Content Standards

User-generated content (checklists, comments, attachments) must NOT:

• Contain illegal, obscene, or defamatory material
• Violate privacy rights of others
• Contain confidential information you don't have permission to share
• Promote violence, discrimination, or hate speech

5.3 Enforcement

We reserve the right to:

• Monitor user activity for compliance
• Remove content that violates these Terms
• Suspend or terminate accounts for violations
• Report illegal activity to law enforcement

6. Subscription Plans and Billing

6.1 Pricing Tiers

Prices are in USD and exclude applicable taxes. Current pricing is available at www.opsle.com/pricing.

6.2 Billing Terms

• Billing Cycle: Monthly or annual (selected at purchase)
• Payment Method: Credit card via Stripe
• Auto-Renewal: Subscriptions renew automatically unless cancelled
• Price Changes: We will notify you 30 days before any price increase

6.3 Free Trial

New users receive a 14-day free trial with access to all features. No credit card required. After the trial:

• Downgrade to a free plan (limited features)
• Subscribe to a paid plan to retain full access

6.4 Refunds and Cancellations

• Cancellation: You may cancel your subscription at any time via account settings
• Effect: Access continues until the end of your billing period
• Refunds: [To be determined - typical: pro-rated refunds within 30 days, or no refunds policy]
• Downgrade: If you downgrade to a lower tier, excess data (locations, users) will be archived

6.5 Taxes

You are responsible for all applicable taxes (sales tax, VAT, GST) based on your location. Taxes will be calculated and added at checkout.

6.6 Payment Failures

If a payment fails:

• We will attempt to process payment again after 3 days
• You will receive email notifications
• After 10 days of non-payment, your account will be suspended
• After 30 days, your account and data may be deleted

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including all content, features, and functionality (software, design, graphics, text, logos), is owned by Opsle and protected by:

• Copyright laws
• Trademark laws
• Patent laws (where applicable)
• Trade secret laws

You may not copy, modify, distribute, sell, or create derivative works without our written permission.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Service for your internal business purposes
• Create and manage checklists within your organization

This license terminates when your subscription ends or your account is closed.

7.3 User Content Ownership

You retain all ownership rights to content you create (checklists, templates, comments, attachments). By using the Service, you grant us a limited license to:

• Store, display, and transmit your content
• Provide the Service to you and your team
• Make backups for disaster recovery
• Generate aggregate, anonymized analytics

We do NOT claim ownership of your content and will NOT use it for purposes outside of providing the Service.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.

8. Privacy and Data Protection

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

8.2 Data Security

We implement industry-standard security measures:

• Encryption in transit (TLS 1.2+)
• Encryption at rest (database-level)
• Regular security audits
• Access controls and authentication

However, no system is completely secure. You acknowledge the inherent risks of transmitting data over the Internet.

8.3 Data Backup

We perform regular backups of all user data. In the event of data loss, we will make commercially reasonable efforts to restore your data from backups.

8.4 Data Deletion

When you delete content or close your account:

• Content is removed from active systems within 30 days
• Backups may retain data for up to 90 days
• Anonymized analytics data is retained indefinitely

9. Service Level and Availability

9.1 Service Availability

We strive to maintain 99.9% uptime (excluding scheduled maintenance). However, we do NOT guarantee uninterrupted or error-free service.

9.2 Scheduled Maintenance

We will perform scheduled maintenance as needed. We will notify you:

• At least 48 hours in advance for major maintenance
• Via email and status.opsle.com

9.3 Service Interruptions

We are not liable for service interruptions caused by:

• Internet service provider issues
• Hardware or software failures
• Natural disasters or force majeure
• Third-party service outages (hosting, payment processing)

9.4 Support

Support is provided via:

• Priority Support: Available for Enterprise plans

10. Third-Party Services and Integrations

10.1 Third-Party Providers

The Service uses third-party providers for:

• Payment processing (Stripe)
• Email delivery (SMTP providers)
• OAuth authentication (Google, Microsoft)
• Analytics (Google Analytics)

Your use of these services is subject to their respective terms and privacy policies.

10.2 Integrations

We may offer integrations with third-party tools (Slack, Zapier, etc.). We are not responsible for:

• Availability or reliability of third-party services
• Data security practices of third parties
• Compatibility issues or integration failures

10.3 API Access

If you use our API:

• You must comply with our API usage guidelines
• Rate limits apply (see API documentation)
• API access may be revoked for abuse

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of content

We do NOT warrant that:

• The Service will meet your requirements
• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSLE SHALL NOT BE LIABLE FOR:

Indirect Damages:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Loss of goodwill or reputation
• Consequential, incidental, or punitive damages

Maximum Liability:

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

11.3 Exceptions

Some jurisdictions do not allow limitations on warranties or liability. In such cases, the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Opsle, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your misuse of the Service
• Your violation of any laws or third-party rights
• Content you submit or share via the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Using the “Delete Account” option in account settings
• Contacting support at support@opsle.com

Upon termination:

• Your subscription will not renew
• Access to paid features will end at the end of your billing period
• Your data will be deleted within 30 days (see Section 8.4)

13.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• We are required to do so by law
• You engage in fraudulent activity
• Your account poses a security risk

13.3 Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• We may delete your account and all associated data
• You remain liable for any unpaid fees
• Sections 7, 11, 12, 14, and 15 survive termination

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of [State/Country - to be determined based on your business location], without regard to conflict of law principles.

14.2 Informal Resolution

Before filing a claim, you agree to contact us at legal@opsle.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Opsle regarding the Service.

15.2 Modifications

We may modify these Terms at any time. Changes will be effective:

• Immediately for new users
• 30 days after notification for existing users

Notification will be provided via email and/or prominent notice on the Service.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.5 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any successor or affiliate.

15.6 Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control (natural disasters, war, terrorism, labor disputes, etc.).

15.7 Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not use the Service in embargoed countries or provide access to prohibited users.

15.8 Notices

All notices must be sent to:
